      style=3D"FONT-SIZE: 13pt; LINE-HEIGHT: 150%; FONT-FAMILY: 'WP =
TypographicSymbols'">A</SPAN><SPAN=20

reserve</SPAN><SPAN=20

      from Tex Star in July of 2002, shortly before the Bank One line of =

      was to end.&nbsp; Soon after that, Tex Star declined to deposit =
further=20
      funds into the Bank One reserve.&nbsp; Although Tex Star continued =

      repurchasing defaulted notes from Regal until November of that =
year, Regal=20
      ceased paying Tex Star the aggregate amounts of repurchase =
reductions from=20
      the holdback reserve; and, after the Bank One line of credit was =
repaid=20
      and discontinued, Regal did not return to Tex Star the funds it =
had=20
      deposited into the Bank One reserve while the line of credit had =
been in=20
      effect.&nbsp; In November of 2002, Tex Star stopped repurchasing =
defaulted=20
      notes, as required by its full recourse guaranty under the PSAs, =
and Regal=20
      thereafter sold the vehicles that were repossessed on those=20
      notes.</SPAN></P>

against Tex=20
      Star for recovery of over $8,000,000 in deficiencies it allegedly =
suffered=20
      on 906 such defaulted notes after it sold the repossessed =
vehicles.&nbsp;=20
      Tex Star countersued for recovery of the $975,000 it had deposited =
into=20
      the Bank One reserve, $472,000 in unrefunded repurchase =
reductions, and=20
      statutory damages of $4,000,000 for Regal</SPAN><SPAN=20

      style=3D"FONT-SIZE: 13pt; LINE-HEIGHT: 150%">s breach could be =
excused if=20
      Regal</SPAN><SPAN=20

      testified that Regal did a good job of selling every repossessed =
vehicle=20
      the best it could for the highest price it could=20

      among dealers under similar circumstances, which would not, or =

thereunder), the=20
      PSAs do not address this possibility (presumably because they do =
not=20
      anticipate that Tex Star would refrain from deducting the =
repurchase=20
      reductions from the amounts it paid to repurchase the =
notes).&nbsp;=20
      Instead, the only provision obligating Regal to pay Tex Star =
amounts from=20
      the holdback reserve fund states:</SPAN></P>

      reserve account balance was greater than fifteen percent of the =
aggregate=20
      unpaid net balance of all notes held by Regal on any dates that =
Tex Star=20
      claims the refunds were due.&nbsp; Because the PSAs impose no such =

      obligation on Regal, Tex Star has not established that =
Regal</SPAN><SPAN=20
      style=3D"FONT-SIZE: 13pt; LINE-HEIGHT: 150%; FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN><SPAN=20
      style=3D"FONT-SIZE: 13pt; LINE-HEIGHT: 150%">s failure to make the =
refunds=20
      on the basis claimed by Tex Star constituted any breach of the =
PSAs, let=20
      alone a material breach that could discharge Tex Star</SPAN><SPAN=20

      style=3D"FONT-SIZE: 11pt">s only method of soliciting bids was to =
call=20
      wholesalers he knew; (3) Regal accepted bids that were well below =
NADA=20
      values; (4) those who purchased from Regal usually resold the =
vehicles=20
      quickly at higher prices, with little or no repair work, including =
many=20
      that were taken directly to auction by the purchasers; (5) Regal =
deviated=20
      from its own procedures in having no NADA value sheet in the file =
for more=20
      than 300 repossessions, selling 200 vehicles with only one bid, =
and having=20
      no condition report in numerous files; (6) Regal</SPAN><SPAN=20
      style=3D"FONT-SIZE: 11pt; FONT-FAMILY: 'WP =
TypographicSymbols'">=3D</SPAN><SPAN=20
      style=3D"FONT-SIZE: 11pt">s claim that it was unable to obtain as =
high a=20
      yield on ten vehicles it sold at auction as with private sales to=20
      wholesalers is unsupported by the evidence in that files for eight =
of the=20
      ten sales made at auction do not contain any other bids for =
comparison=20
      purposes, and the remaining two files establish that the auction =
price was=20
      actually higher than the wholesalers</SPAN><SPAN=20

      licensed wholesaler with adequate credit was allowed to bid on=20
