      indemnity, but CSC did not respond to the demand. Reece incurred=20
      $30,704.70 in defense costs, and, after mediation, settled with =

      indemnity provisions seek to shift the risk of one party=E2=80=99s =
future=20
      negligence to the other party, Texas imposes a fair notice =
requirement=20
      before enforcing such agreements. <I>Dresser Indus., Inc. v. Page=20
      Petroleum, Inc.</I>, 853 S.W.2d 505, 508 (Tex. 1993). The fair =
notice=20
      requirements are embodied in the express negligence doctrine and =
the=20
      conspicuousness requirement. <I>Storage &amp; Processors, Inc. v.=20
      Reyes</I>, 134 S.W.3d 190, 192 (Tex. 2004). Under the express =
negligence=20
      doctrine, an intent to indemnify one of the parties from the =
consequences=20
      of its own negligence, =E2=80=9Cmust be specifically stated in the =
four corners of=20
      the document.=E2=80=9D <I>Id.</I> (quoting <I>Ethyl Corp. v. =
Daniel Constr.=20
      Co.</I>, 725 S.W.2d 705, 707 (Tex. 1987)). The conspicuousness =
requirement=20
      mandates that =E2=80=9Csomething must appear on the face of the =
[contract] to=20
      attract the attention of a reasonable person when he looks at =
it.=E2=80=9D=20

      conspicuous if it appears in larger type, contrasting colors, or =
otherwise=20

      the conspicuous requirement is a question of law for the court.=20

      either of the fair notice requirements when they are imposed is=20

      the indemnity agreement is so broad that it would require CSC to =

      Reece for =E2=80=9Canything that could possibly happen during the =
massive road=20
      construction project (or any other project for that matter, given =
Reece=E2=80=99s=20
      interpretation), even if completely unrelated to any work provided =
by CSC=20
      or involving injuries to third-persons not even associated with =
CSC.=E2=80=9D=20
      Further, CSC contends that we cannot reform an ambiguous indemnity =

      provision given that the Texas Supreme Court has directed that =
=E2=80=9Cindemnity=20
      provisions that do not state the intent of the parties within the =
four=20
      corners of the instrument are unenforceable as a matter of =
law.=E2=80=9D=20

premise, but hold that=20

Reece=20
      Albert Inc.=E2=80=9D</SPAN></P>

      argues that Reece erroneously attempts to =E2=80=9Cparse the =
indemnity agreement=20
      into allegedly two separate and independent portions=E2=80=94the =
ambiguous=20
      indemnity trigger and the indemnity undertaking.=E2=80=9D We need =
not address this=20
      argument because, while there may be a few words missing from the=20
      indemnity trigger, after considering the contract as a whole and =
in light=20
      of the circumstances present when the parties entered into the =
contract,=20
      its meaning is certain and is not reasonably susceptible to more =
than one=20

      scrivener=E2=80=99s error. This decision is supported by the =
number of=20
      typographical errors found in the one-paragraph provision. We =
agree that=20
      the stated purpose of the express negligence test is =E2=80=9Cto =
require=20
      scriveners to make it clear when the intent of the parties is to =
exculpate=20
      an indemnitee for the indemnitee=E2=80=99s own =
negligence,=E2=80=9D <I>Fisk</I>, 888=20
      S.W.2d 815, and we hold that the intent was clearly stated in the=20
      provision. There is no ambiguity in CSC=E2=80=99s obligation to =
indemnify Reece=20
      for Reece=E2=80=99s own negligence. Accordingly, we hold the trial =
court erred in=20
      finding the indemnity provision ambiguous and =
unenforceable.</SPAN></P>
